SOFTWARE LICENCE TERMS

Effective 3 November 2026 · v1

In short: you can use the system we build for you permanently, for your own business, on your own infrastructure. Your data always stays yours. The system itself — its code and design — remains ours, so you agree not to copy it out, take it apart, or pass it to others.

1. Who these terms are for

VIMOTION AI is a trade name of Verisance Corporation Sdn Bhd (BRN 200101024062), a company incorporated in Malaysia ("Vimotion", "we", "us").

These terms apply when we build a business system, application, website system or other software (the "System") for a customer ("you") under a quotation, proposal or agreement that refers to this page. They sit alongside that quotation: the quotation sets the scope, price and timeline; this page sets the licence. Where they differ on licence matters, this page applies; on everything else, the quotation applies.

Video production orders placed on this website are governed by our Terms & Conditions, not by this page.

2. Your licence

Once all fees due for a delivered phase are paid, you have a permanent licence to install and use that phase of the System for your own business — your staff, and your own clients where the System has features built for them — on your own infrastructure or replacement hardware you control, with no limit on the number of users or clients unless your quotation says otherwise.

  • Ending any optional monthly support does not end the licence.
  • The licence is not exclusive to you, and cannot be handed to another company without our written consent (see clause 6 for name changes and successors).
  • These terms also apply to any later phase or add-on we deliver to you; each licence starts when that phase or add-on is fully paid.
  • You have no licence to work that has not been delivered.

3. Your data

Your own client files, templates, business rules, lists, wording and records remain your property. Where the System runs on your own infrastructure, your data stays there, and you may open and export it at all times. We keep no copy after handover unless you ask us to host or back it up for you, and we never use or share your data for anyone else.

4. Our system

We (and our licensors, for third-party and open-source components, which stay under their own licences) own the System's software, source code, database design, screens, documentation and general know-how. We may use our general know-how and system design in other work; your data, templates and business rules are never part of that.

The System may include a licence identifier and a licence check that confirms the installation is a licensed copy. The check sends no client data.

5. What you agree not to do

Your staff, IT support, auditors and regulators may use, run, back up and inspect the System as part of your business, and you are responsible for making sure they keep to this clause. You will not, and will not allow anyone else to:

  • (a) copy the System, other than as needed to install, test, run, back up and restore it on your own infrastructure;
  • (b) take the System apart to work out how it is built or to recover its code (reverse-engineer or decompile it), or modify or build on it, unless we agree in writing;
  • (c) sell, rent, lend, sublicense or give the System to anyone else, or run it for another company's use;
  • (d) use the System, its design or its documentation to build a software product to sell or license to others;
  • (e) remove or change any copyright notice, licence identifier or attribution in the System.

Any deployment package delivered to you (for example on termination) remains subject to this clause; your own data, including any export of it, is not restricted by it. You will tell us promptly if you learn of any unauthorised copying or use.

6. If something goes wrong

If you seriously breach clause 5, we will write to you and allow 14 days to fix it. If it is not fixed, we may stop updates and support for the System until it is fixed. The System keeps running, and you can still open and export all of your own data at any time.

If your company changes its name, or your business and the System pass to a successor company, the licence continues for that company once it tells us in writing and accepts these terms. A change in your company's ownership does not by itself end the licence.

7. AI chat (optional)

Some Systems include an AI chat feature. When it is enabled, the conversation you type and the daily summary you choose to send pass through Vimotion's hosted service to our AI provider (Anthropic) to generate the reply. Vimotion does not store conversation content; it records usage only (request counts and token counts, for billing and abuse prevention). Your data is never used for other customers or for training. The AI provider processes data under its own API terms. You can turn this feature off at any time; nothing is sent once it is off. The licence check described in clause 4 still sends no client data.

AI chat is provided through a hosted service. We work to keep it available but do not promise uninterrupted service; during maintenance or a third-party outage the chat pauses while your data, screens and other functions are unaffected, and it resumes automatically.

8. Everything else

Clauses 3, 4, 5, 6 and 7 continue after our engagement ends. All other terms of your quotation continue to apply. These terms are governed by the laws of Malaysia, and the Malaysian courts have jurisdiction. We may update this page from time to time; the version in effect on the date of your quotation governs that System, and we will tell existing customers of material changes.
